Terms of Service
Last updated
This document is provided for transparency and should be reviewed by qualified counsel before relying on it.
The short version: one flat monthly fee, an unlimited queue worked one request at a time, cancel whenever you like, and you own the finished work you’ve paid for (with an honest caveat about AI-generated material). The details are below.
01About these terms
These terms are the agreement between you (the client) and Slopwell for the Slopwell subscription. By subscribing, you agree to them. If you subscribe on behalf of a company or agency, you confirm you’re authorised to accept these terms for it.
How we handle personal information is covered separately in our privacy policy.
02The service
Slopwell is a subscription creative production studio. We produce commercials, short films, motion graphics, visual effects, vertical and social content and related creative work, using a combination of human creative direction, editing, compositing, design and AI tools.
Unless we agree otherwise in writing, the subscription doesn’t include physical production (crews, locations, actors on set), paid media buying, or third-party costs such as stock footage, music or voice talent licenses. If a request needs a third-party cost, we’ll flag it before spending anything.
03Subscription and billing
- The Slopwell Monthly Club costs $2,250 per month. It’s billed monthly in advance through our payment provider, Stripe, and renews automatically each month until you cancel.
- Prices are shown in US dollars. Any taxes that apply where you are may be added at checkout.
- If a payment fails, Stripe may retry it automatically. We may pause work on your requests while a payment is overdue and resume once it’s resolved.
- If we change the price, we’ll tell you in advance and the new price will apply from a later billing period — never to a period you’ve already paid for.
04Cancellation and refunds
- You can cancel at any time from the Stripe billing portal (or by contacting us). Cancellation takes effect at the end of your current paid period, and your access continues until then.
- Fees for a billing period that has already started are not refunded, except where a refund is required by law.
- If we decide to stop offering the service, we’ll give you reasonable notice and won’t charge you for any period after it ends.
05Requests, queue and turnaround
- Your queue is unlimited: add as many requests as you like. We actively work on one request at a time, in the priority order you set. When a request is approved (or waiting on your feedback), the next one moves into production.
- Turnaround times are targets, not guarantees. For example, we aim to deliver first drafts of standard requests within ~2 business days, but timing depends on the request, its complexity and how quickly we receive what we need from you.
- Larger productions — such as full commercials or short films — are delivered in milestones (for example concept, boards, animatic and final) across a longer period. We’ll tell you when a request falls into this category.
06Revisions
We revise each request until it matches the brief we agreed on. Changes that go beyond that scope — a new concept, a different format or a substantially different direction — are treated as a new request in your queue.
07Your responsibilities
- Give us clear briefs, accurate information and timely feedback.
- Only send us materials you have the right to use — logos, footage, photos, music, trademarks, likenesses and other content — and get any permissions or releases needed for us to use them on your behalf.
- Use the deliverables lawfully, including advertising standards, platform rules and any requirements to disclose AI-generated or synthetic content.
- Keep your request board and account access secure and limited to people you trust.
08Acceptable use
You must not ask us to create, and we won’t create, content that:
- is illegal, or promotes or facilitates illegal activity;
- is defamatory, harassing, hateful or threatening;
- is a deceptive deepfake — synthetic media depicting a real person without their consent, or designed to mislead people about what someone said or did;
- infringes anyone’s copyright, trademark, privacy or publicity rights;
- is sexually explicit, or exploits or endangers minors in any way;
- is designed to scam, defraud or deceive consumers.
We may decline or stop work on any request at our discretion — for example if it’s outside what we do or raises legal or ethical concerns. We may suspend or end the subscription for serious or repeated breaches of these terms.
09Intellectual property
Your deliverables
Once you’ve paid the fees for the period in which a deliverable is delivered, you own the final deliverables to the extent Slopwell holds rights in them, and Slopwell assigns those rights to you. You may use them commercially.
AI-generated material
In some jurisdictions, material generated by AI may not be protectable by copyright, particularly without meaningful human authorship. We can’t guarantee that any deliverable, or any part of one, is eligible for copyright or other exclusive protection, and AI tools may produce similar outputs for others.
Third-party assets and licenses
Stock footage, music, fonts, voices, models and other third-party assets remain subject to their own license terms, which you agree to follow. We’ll tell you when an asset needs a paid or restricted license; license fees are your responsibility unless we agree otherwise in writing.
Our tools and know-how
Slopwell keeps ownership of its pre-existing materials, tools, workflows, templates and general know-how, and of drafts and concepts that aren’t delivered as final work.
Portfolio
We may show work we create for you in our portfolio and marketing unless you opt out in writing. Work delivered to white-label clients (such as agencies presenting work under their own name) is excluded by default: we won’t show it without your written permission.
10Confidentiality
Each of us will keep the other’s non-public business information — including unreleased campaigns, briefs and assets — confidential, and use it only to provide or receive the service. This doesn’t apply to information that is or becomes public through no fault of the receiving party, that was already known to it, or that must be disclosed by law. These obligations continue after the subscription ends.
11Warranties and limitation of liability
We’ll provide the service with reasonable care and skill. Beyond that, and to the extent the law allows, the service and deliverables are provided “as is”, without other warranties of any kind, whether express or implied — including warranties of merchantability, fitness for a particular purpose or non-infringement.
To the extent the law allows, Slopwell’s total liability for any claim arising out of or relating to these terms or the service is limited to the fees you paid in the three (3) months before the event giving rise to the claim, and Slopwell isn’t liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, data or goodwill.
Nothing in these terms limits liability that cannot be limited under applicable law.
12Changes to these terms
We may update these terms from time to time. We’ll post the new version here with a new “last updated” date and, for significant changes, let active clients know by email before they take effect. If you don’t agree with a change, you can cancel before it applies; continuing to use the service afterwards means you accept the updated terms.
